Terms of Service

These Terms of Service (“Terms”) are an agreement between you and Sherlock (“Sherlock,” “we,” “us,” or “our”) governing your use of sherlockwatch.comand the Sherlock web application (together, the “Service”). By creating an account or using the Service, you agree to these Terms. If you are using the Service on behalf of a business, you represent that you are authorized to agree to these Terms on its behalf.

1. What Sherlock Does

Sherlock is software that helps small and medium-sized businesses review their financial transactions for potential fraud, errors, and unusual activity. You provide transaction data (currently by uploading a CSV file), and Sherlock applies a set of detection rules and statistical checks to surface items that may warrant your attention.

Sherlock is a detection aid, not a guarantee. It is designed to help you spot issues more easily, but it will not catch every instance of fraud or error, and it may flag items that turn out to be legitimate. You remain responsible for reviewing your own finances and making your own decisions. Sherlock does not provide financial, legal, accounting, or tax advice.

You retain ownership of the transaction data and other content you upload to the Service (“Your Content”). You grant us a limited license to host, process, and use Your Content solely to provide and improve the Service, as described in our Privacy Policy.

You are responsible for ensuring you have the right to upload Your Content and that doing so does not violate any law or any obligation you owe to a third party. You agree not to upload content that is unlawful or that infringes the rights of others.

Some features of the Service may be offered free of charge, and others may require payment. If we introduce paid plans, we will present the applicable pricing and billing terms to you before you purchase. Where the Service is offered to you at no charge, we may modify or discontinue free features at our discretion.

The Service relies on third-party providers (such as our hosting and database providers) and may, in the future, integrate with third-party services you choose to connect. We are not responsible for the availability, accuracy, or practices of third-party services, and your use of them may be subject to their own terms.

We are continually improving the Service and may add, change, or remove features at any time. We may also suspend or discontinue the Service, in whole or in part. We will try to give reasonable notice of material changes where practical, but we do not guarantee that the Service will always be available or uninterrupted.

The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Without limiting the above, Sherlock does not warrant that the Service will detect all fraud, errors, or unusual activity, that its results will be accurate or complete, or that the Service will be uninterrupted, secure, or error-free. Any reliance you place on the Service’s output is at your own risk, and you are responsible for independently verifying important findings.

To the maximum extent permitted by law, Sherlock and its owners, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business, arising out of or relating to your use of (or inability to use) the Service.

To the maximum extent permitted by law, our total liability for any claim arising out of or relating to the Service will not exceed the greater of (a) the amount you paid us for the Service in the twelve months before the event giving rise to the claim, or (b) one hundred U.S. dollars ($100).

You agree to indemnify and hold harmless Sherlock and its owners, employees, and suppliers from any claims, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of your use of the Service, Your Content, or your violation of these Terms or applicable law.

11. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms or if we reasonably believe it is necessary to protect the Service or other users. Upon termination, your right to use the Service ends. Sections that by their nature should survive termination (such as Disclaimers, Limitation of Liability, and Indemnification) will continue to apply.
